Preamble

The Slovak Republic is undergoing a process of economic transformation towards a market economy. Transparent and excellent public services, which are accessible to the citizen and effectively utilize the resources allocated by the society, are an important part of a functioning market economy. Their transformation requires a detailed analysis of the initial situation and of current legislative proposals, which would point out at their outcomes concerning citizens, the economy and the society as a whole. It is possible to adjust and apply foreign framework in certain fields, while other require specific and innovative solutions. The goal of Slovak Governance Institute is to initiate and support the search for solutions that would increase quality of the process, through which the society approves and realizes decisions dealing with the allocation of public resources or with guaranteeing its needs and which would assure excellent, accessible, transparent and effective public services for Slovak citizens and eventually for citizens in other countries. In order to achieve this goal, the Institute will survey the issues connected with this process and with the assuring of public services, evaluate the suggested solutions, propose own sectional or complex solutions, inform the society, scholars, responsible institutions and the media in Slovakia or abroad with the results of its work.

Article 1

Article 2

Goals of the association

1. The goal of SGI is to stimulate public discussion, initiate and search for solutions that would increase quality of the allocation process of public services and thus secure quality, accessible, transparent and effective public services available to citizens of Slovakia or of other countries.

2. SGI especially focuses on:

a) the analysis of allocation processes of public services and on their providing in Slovakia or abroad, mostly in spheres of education, health care, public administration, system of social insurance, scientific research and development, environmental policy, cultural policy, employment, regional policy and macroeconomic policy,

b) developing and proposing common approaches for a good arrangement of those services,

c) the analysis of proposed solutions and on advising own solutions for improving public services in terms of quality, accessibility, transparency and efficiency, while also on the best possible utilization of resources that are invested by the society for their accommodation,

d) the support of creating infrastructure for public discussion dealing with public services in the form of organizing seminars, conferences or creative meeting for exchange of information and creative confrontation between domestic or foreign public service experts, the public, employees of public sector, non-profit sphere and the business sphere,

e) the familiarizing of the public, scholars and employees of state administration or of regional municipalities with the results of its work through direct media outputs, organizing of education programs and through other edifying forms in the area of improvement of public services

Article 3

The bodies of the association and the way of their appointment

1. The bodies of SGI are:
a) General assembly of SGI members
b) Supervisory Board of SGI
c) Chairman of the Supervisory Board of SGI
d) Executive director of SGI
e) Auditor of SGI

2. General assembly of SGI members

General assembly of SGI members is the supreme body of SGI. It appoints and removes members of the Supervisory Board of SGI, approves the Statutes of the association, decides over the liquidation of the association and over the appointment of the liquidator, deals with the appointment of new SGI members and with the canceling of membership in SGI. It elects and removes the executive director of SGI for a four-year term deleted. The General assembly of SGI members decides with a majority vote of all present members if those Statutes do not settle differently. It is legitimate if there are a two third of all SGI members present. The General assembly of SGI members is summoned by the executive director for at least once annually.

3. Supervisory Board of SGI

The Supervisory Board of SGI is created by the general assembly of elected personalities from economic and public life and by the executive director of SGI. The number of its member cannot exceed 11. The Supervisory Board of SGI oversees the results of the work made by the association and states the future direction of its activities. The Supervisory Board is summoned by its chairman or by a simple majority of all its members at least for a single time annually. The Supervisory Board accommodates its decisions through a simple majority of all present members if those Statutes do not settle differently. Its decisions are legitimate if there is at least a simple majority of all members present.

4. Executive director of SGI

The executive director of SGI is the statutory delegate of SGI and he represents SGI in legal relations. He has the right to delegate those representative rights of SGI to other persons. The executive director states the salary of SGI employees. He is responsible for the managerial issues of the association, the accountancy of SGI, the management of SGI property, the budgetary proposal and for the execution of the annual accountancy closure. He has the right to authorize other persons to execute duties connected with the management of the association. He approves and signs financial operations that conformable with established legal acts. He has the right to authorize other persons with their execution. He summons the General Assembly of SGI members.

The Executive Director of SGI submits financial report for the reference of the Chairman of the Supervisory Board monthly. The Executive Director of SGI submits the draft budget for the next calendar year and all the subsequent proposals for the changes of the budget to the Chairman of the Supervisory Board. The Executive Director of SGI submits drafts of documents which are supposed to be subject to the discussion of the General Assembly of the SGI or the Supervisory Board of SGI to the Chairman of the Supervisory Board of SGI.

5. Auditor of SGI

The auditor of SGI is the controlling body of the association. He is elected and removed by the General assembly of the association for a four-year term on the proposal of the executive director of SGI. The auditor oversees the respecting of the Statutes, the management of financial resources and of other property of the association. He submits his report about the results of executed inspections and about his activities to the Supervisory Board of SGI once per year.

6. Chairman of the Supervisory Board of SGI

The Chairman of the Supervisory Board of SGI summons its rulings for at least once per year and presides over them. He is elected and removed by the members of the Council of SGI on the proposal of the executive director of SGI.

The Chairman of the Supervisory Board of SGI helps the Executive Director of SGI with the strategic management of SGI in the extent based on their mutual agreement. The Chairman of Supervisory Board of SGI defines salary of the Executive Director of SGI and approves the draft budget for the next calendar year and all the subsequent proposals for the changes of the budget submitted by the Executive Director of SGI.

Article 4

The requirements of membership, rights and responsibilities of members

a) Individuals and legal person can become SGI members if they fulfill below mentioned requirements and the General Assembly of SGI members will approve their membership, while a member, who is an individual, votes in the Assembly personally while a member, who is a legal person, disposes with a right to vote in the Assembly through his authorized representative.

b) The application form must be submitted by the applicant in a written form and must contain data necessary for a proper judgment of his application. The application requirements will be determined by the executive director of SGI. The General Assembly of SGI members will decide over the application, which contains all the necessary data, on its next session. The voting result of the General Assembly of SGI members will be announced to the applicant by the executive director of SGI in a written form. In the case of a positive decision, the applicant becomes a SGI member since the next day after the day, when the General Assembly of SGI members decided over his application.

c) SGI members have the right to:

1. vote and be elected to SGI bodies (if those Statutes do not settle differently), while every member disposes of one vote,

2. submit proposals and recommendations to all SGI bodies

3. be informed about the actions of SGI and to participate on its doings

4. All SGI members are obligate to follow the Statutes and decisions of SGI bodies, while they contribute to the fulfilling of goals of SGI.

5. A member can always terminate his membership in SGI through a written announcement submitted to the Chairman of the Supervisory Board of SGI. The membership perishes since the day following after the day, when the announcement, about the termination of the membership, is delivered to the Chairman of the Supervisory Board of SGI.

6. General Assembly of SGI members can terminate the membership of a SGI member if:
a) the member repeatedly acts in conflict with the principles of SGI activities
b) the member repeatedly violates the decisions made by SGI bodies

Article 5

The economic principles of SGI

1. The financial sources of the association are made up from voluntary financial or other resources in the form of donations or gifts from legal persons or individuals, pay-offs from specific activities and public subscriptions, interests from financial resources allocated in financial institution and of profits from own activities. The management of the association is non-profit

2. The economic decisions and the approval of new obligations are executed by the executive director of SGI, if those Statutes don't settle differently. The measures are assured by other bodies of SGI according to their jurisdiction.

3. The resources of the association must be spent in the accordance with the goals of SGI.

Article 6

The cancellation and dissolution of the association

1. Approval of at least two-thirds of all General Assembly of SGI members is required for the dissolution of SGI and the naming of the liquidator.


2. The General Assembly of SGI members decides on the basis of the liquidator's proposal over the future usage of the SGI property, which is left after the settlement of all obligations, by a majority vote of all members. The property can be granted only to a association with an non-profit management.

Article 7

Other provisions

1. The change of Statutes is underlying to the approval of two-thirds of all General Assembly of SGI members.

2. The members of the Steering Committee of SGI are automatically becoming the first members of SGI.

Appendix no.1

to the statutes of the civic association Slovak Governance Institute registered by the Ministry of Interior on 17th October 2001 under the number VVS/1-900/90-19104.
On the basis of the verdict of the General Assembly of SGI, the Statutes are changed and amended in the following articles:
a) the preamble is let out

b) point 1 in article 2 is changed in the following way:

1. Quality, accessible, transparent and effective public services for the citizen of Slovakia and of other countries are the goal of SGI.

c) amendment of article 2, point 2 letter f:

f/ other activities of analytic, evaluative and of recommendation character in the sphere of public policy in Slovak Republic and abroad with the emphasis on cooperation within projects organized or financed by international institutions (Ministry of international development of United Kingdom, European Commission, Development Program of OSN, World Bank etc)

d) amendment of article 3 point 3:

3. Council of SGI

The Council of SGI is constituted by all members of SGI and by personalities of economic and public life elected by the General Assembly. The Council of SGI oversees the results of the association's work and states the future development of its activities. The Council is summoned by its chairman or by a simple majority of all its members at least for a single time annually. The Council adopts its decision by the majority of all present members, if those Statutes do not settle differently. It is legitimate, if a majority of all members is present.
e) In article 4, letter c, point 3 the word "actions" is replaced by word "activities".
